Harry S. Gruner
Director

Harry S. Gruner has served as a director of PROS since 1998.
Mr. Gruner co-founded JMI Equity, a private equity investment
partnership, in 1992 and is a general partner.
Mr. Gruner's past JMI investment experience includes Changepoint
Corporation (acquired by Compuware, Inc.), Financial Alliance
Processing Services, Inc. (acquired by National Processing,
Inc.), Jackson Hewitt, Inc. (NASDAQ: JTAX, acquired by Cendant
Corporation), META Group, Inc. (NASDAQ: METG, acquired by
Gartner, Inc.), National Bankcard Association, Inc. (acquired
by Fifth Third Bank Corporation), Optika Imaging Systems,
Inc. (NASDAQ: OPTK, acquired by Stellent, Inc.), Primax Recoveries,
Inc. (recapitalized), Transaction Systems Architects, Inc.
(NASDAQ: TSAI), and Transcentive, Inc. (acquired by Computershare,
Inc.). Additionally, Mr. Gruner was a member of the
board of directors of Hyperion Software Corporation (NASDAQ:
HYSL) from 1989 to 1999.
From 1986 to 1991, Mr. Gruner was employed by Alex. Brown
serving as a Principal in the Corporate Finance Department
of the Technology Group. Mr. Gruner also worked in the
Mergers and Acquisitions Department of Alex. Brown, where
he specialized in advising software, business and computer
services companies. In 1985, Mr. Gruner joined the marketing
department of Sigma Design, Inc., a UNIX-based, computer
aided design (CAD) software developer. Mr. Gruner began
his business career as a Financial Analyst in the Technology
Group of the Corporate Finance Department of Blyth Eastman
PaineWebber, Inc.
He also serves on the boards of directors of Aptela, Inc.,
Autotask Corporation, Control Point Solutions, Inc., Corliant,
Inc., Courion Corporation, CyberTech Systems and Software,
Inc., and Intellitactics, Inc.
Mr. Gruner received a B.A. from Yale University and an M.B.A
from Harvard Business School.
